Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the Aira platform ("Service") operated by Softure UG (haftungsbeschränkt), Scharfenberger Str. 28, 13505 Berlin, Germany ("we", "us", "Company"). By creating an account or using the Service, you agree to these Terms.

2. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your API keys and for all activity under your account. Notify us immediately at customers@softure-ug.de if you suspect unauthorized access.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations.
  • Attempt to reverse-engineer, decompile, or extract source code from the Service.
  • Circumvent rate limits, authentication, or security mechanisms.
  • Transmit malware, exploits, or malicious content through the API.
  • Resell or sublicense access to the Service without our written consent.

4. API Usage & Rate Limits

Your plan determines your API rate limits and monthly evaluation quota. Exceeding your limits may result in throttled requests or temporary suspension. We reserve the right to adjust rate limits with 30 days' notice.

5. AI Decisions — No Warranty

The Service provides multi-model AI evaluations and consensus scores to assist your decision-making. AI outputs are not legal, financial, or medical advice. We make no warranty that AI-generated evaluations are accurate, complete, or suitable for any specific purpose. You remain solely responsible for all decisions made using the Service.

6. Intellectual Property

You retain all rights to the data you submit to the Service. We retain all rights to the Service, its software, documentation, and branding. The audit proofs and evaluation reports generated by the Service are licensed to you for your internal compliance and record-keeping purposes.

7. Liability Limitation

To the maximum extent permitted by law, our total aggregate liability for any claims arising from or related to the Service shall not exceed the fees you paid to us in the 12 months preceding the claim.

We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of whether we were advised of the possibility of such damages.

8. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.

9. Account Management

Aira supports three account management actions, available from your dashboard settings:

  • Leave Organization (team members) — your personal data is immediately anonymized and your account is deactivated. The organization's cases, receipts, and audit logs are preserved. Audit entries you created will show "Deleted user" as the actor.
  • Transfer Ownership (organization owner) — transfer the owner role to an existing admin. You become an admin. No data is affected.
  • Delete Organization (organization owner) — permanently and irreversibly deletes the organization and all associated data, including all users, cases, receipts, API keys, and audit logs. Audit proofs and evaluation records may be retained for up to 7 years as required by applicable regulations.

10. Modifications

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Berlin, Germany.
